  • Grant necessary platform access (e.g., Amazon Seller/Vendor accounts)

  • Respond promptly to information or approval requests

Prime Sentinel Ads is not responsible for performance delays caused by incomplete or inaccurate client information.


6. Fees and Payment

Unless otherwise agreed in writing:

  • Fees are outlined in proposals or service agreements

  • Payments must be made within agreed invoice terms

  • Late payments may result in suspension of services

  • All fees are non-refundable once work has commenced unless required by law

Advertising platform spend (e.g., Amazon or Google media budgets) is separate from agency fees.


7. Performance Disclaimer

While we apply professional expertise and industry best practices, we do not guarantee:

  • Revenue increases

  • Advertising profitability

  • Search rankings

  • Marketplace positioning

  • Specific return on ad spend (ROAS)

Marketing outcomes depend on market conditions, competition, product quality, and platform algorithms beyond our control.


8. Intellectual Property

Our Intellectual Property

All methodologies, strategies, dashboards, reports, frameworks, and materials created by Prime Sentinel Ads remain our intellectual property unless agreed otherwise in writing.

Client Materials

Clients retain ownership of trademarks, branding, and supplied content.

Clients grant us a limited licence to use such materials solely for service delivery.

We are not responsible for:

  • Account suspensions imposed by third parties

  • Algorithm or marketplace updates

  • Decisions made by Amazon, Google, Meta, or similar platforms

Clients remain subject to each platform’s own terms.


11. Limitation of Liability

To the fullest extent permitted by UK law:

Prime Sentinel Ads shall not be liable for:

  • Loss of profits or revenue

  • Indirect or consequential loss

  • Loss arising from advertising platform decisions

  • Business interruption or marketplace restrictions

Our total liability relating to services shall not exceed the fees paid for services during the preceding three (3) months.

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence.


12. Termination

Either party may terminate services:

  • In accordance with contractual notice periods, or

  • Immediately where material breach occurs.

Upon termination:

  • Outstanding invoices become payable immediately

  • Platform access may be revoked

  • Active campaigns may be paused or transferred
